These Terms of Service ("Terms") govern your use of InsightSerenity's website and services, operated by Emmanuel Oyemosu ("we," "our," or "us"). By booking a consultation, engaging our services, or using this website, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services

InsightSerenity provides professional consulting and coaching services including, but not limited to: Data Science & Analytics, Full-Stack Software Development, AI & Machine Learning, System Architecture, eCommerce Solutions, Technical Consulting, Life Literacy Coaching, and Bible-Based Coaching.

All services are delivered remotely unless otherwise agreed in writing

Scope of work is defined in a written proposal or service agreement before work begins

We reserve the right to decline projects that conflict with our values or expertise

Free discovery consultations are provided as-is, with no commitment on either party

2. Payment Terms

Payment terms are established in the individual service agreement for each engagement. Standard terms are as follows:

Technical projects: 50% deposit required before work begins; remaining 50% due upon delivery and approval

Coaching sessions: Billed per session or in advance for package bundles; no refunds after a session is completed

Hourly work: Billed at the agreed rate; invoiced weekly or biweekly

Payment methods: Credit/debit cards, bank transfer (ACH/wire), and PayPal accepted

Invoices are due within 7 days of issuance unless otherwise agreed. Late payments may incur a 1.5% monthly service charge. Work may be paused on engagements with overdue invoices.

3. Cancellations & Refunds

Discovery calls: Free to cancel or reschedule at any time via Calendly

Project deposits: Non-refundable once work has begun; fully refundable if cancelled before work commences

Coaching sessions: Cancel or reschedule at least 24 hours in advance for a full credit; late cancellations forfeit the session fee

Completed deliverables: No refunds are provided for delivered and approved work

If you are unsatisfied with a deliverable, please contact us within 5 business days of delivery. We will work to resolve the issue through revisions or a partial credit at our discretion.

4. Intellectual Property

Unless otherwise agreed in writing, the following terms apply to intellectual property created during engagements:

Upon receipt of full payment, clients receive full ownership and rights to all custom deliverables (code, data models, reports, designs) created specifically for their project

We retain the right to use generalized methodologies, frameworks, and non-proprietary knowledge from any engagement in future work

We retain ownership of all coaching materials, frameworks, templates, and content developed by InsightSerenity; clients receive a personal, non-transferable license to use them

All content on this website — including text, design, and code — is the property of InsightSerenity and may not be copied without permission

We may request the right to showcase non-confidential work in our portfolio. Clients can opt out of this by notifying us in writing before project completion.

5. Confidentiality

We treat all client information as confidential. We will not disclose your business data, project details, or personal information to third parties without your explicit consent, except as required by law. Clients are equally expected to keep any proprietary tools, methodologies, or pricing information shared by InsightSerenity confidential.

A mutual NDA can be provided upon request for sensitive engagements.

6. Limitation of Liability

To the maximum extent permitted by law:

InsightSerenity's total liability for any claim arising from services shall not exceed the total fees paid by the client in the 30 days prior to the claim

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities

Coaching services are advisory in nature; clients are solely responsible for decisions made based on coaching sessions

We do not guarantee specific business outcomes, revenue growth, or technical results from any engagement

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded by law.

7. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Houston, Texas, under the rules of the American Arbitration Association.
